1. Acceptance of Terms

By accessing or using DFY AI Suite, our websites, applications, or services (collectively, the “Services”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree, do not use the Services.

2. Eligibility

You must be at least 18 years old or the age of majority in your jurisdiction. If you register on behalf of a legal entity, you represent that you are authorized to bind that entity.

3. Accounts & Security

• Registration: Provide accurate, current information and keep it updated.

   

• Credentials: You are responsible for maintaining the confidentiality of your login and for all activity under your account.

   

• Notice: Notify us promptly of any unauthorized access or security incident.

   

• Suspension: We may suspend or terminate accounts for violations, suspected fraud, or misuse.

   

4. License & Access

Subject to these Terms and applicable plan limits, we grant you a limited, non-exclusive, non-transferable license to access and use the Services for your internal business purposes and for reselling/white-label use where expressly included in your plan. All rights not expressly granted are reserved by AISOFTDESK.

5. Plans, Payments & Refunds

• Fees: You agree to pay all fees, taxes, and charges shown at checkout.

   

• Billing: We accept Stripe and PayPal. For subscriptions, you authorize recurring charges until canceled per the plan terms.

   

• Refunds: Unless otherwise stated on the checkout page, purchases include a 30-day money-back guarantee. To request a refund, email kloud9apps@aisoftdesk.com within 30 days of purchase. We may request reasonable usage evidence to improve the product. Payment processor fees may be non-refundable under their policies.

   

• Price Changes: We may change fees prospectively with notice.

   

6. White-Label & Commercial Rights

Certain plans include white-label features (branding, custom domains, reseller sites) and commercial rights to sell access to tools. Rights are limited to those explicitly listed in your purchased plan and documentation. You are solely responsible for your pricing, marketing claims, compliance, and end-user support where applicable.

7. Acceptable Use

You agree not to:

• use the Services to create, upload, or distribute unlawful, harmful, deceptive, infringing, or abusive content;

   

• violate privacy, intellectual property, or advertising/communications laws;

   

• interfere with or disrupt the Services;

   

• attempt to bypass quotas, security, or usage restrictions;

   

• spam, phish, or conduct fraudulent, misleading, or deceptive practices;

   

• misuse platform integrations or breach third-party terms (e.g., ad platforms, social networks).
  We may suspend or terminate access for violations.

   

8. User Content & Data

You retain ownership of content you upload or generate (“User Content”). You grant us a worldwide, non-exclusive, royalty-free license to host, process, transmit, display, and back up User Content solely to provide and improve the Services. You represent that you have all necessary rights to User Content and that it does not violate law or third-party rights.

9. Intellectual Property

The Services, including software, interfaces, templates, designs, logos, documentation, and all related intellectual property, are owned by AISOFTDESK or its licensors and are protected by law. Except as expressly permitted, you may not copy, modify, reverse engineer, or create derivative works of the Services.

10. Third-Party Services & Models

The Services may rely on third-party AI models, payment processors, hosting, and other vendors. Your use of third-party services is subject to their terms. We are not responsible for third-party outages, changes, or data practices.

11. Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant uninterrupted or error-free operation, or that results will meet your expectations.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AISOFTDESK AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND PARTNERS SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, OR LOST PROFITS/REVENUE/GOODWILL/ DATA. OUR AGGREGATE LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

13. Indemnification

You agree to defend, indemnify, and hold harmless AISOFTDESK from and against claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from: (a) your use of the Services; (b) your User Content; (c) your breach of these Terms; or (d) your violation of any law or third-party right.

14. Termination

You may cancel at any time. We may suspend or terminate access (with or without notice) for violations, suspected fraud, non-payment, or legal/compliance risks. Upon termination, your license ends and you must cease using the Services. Sections that by their nature should survive (e.g., IP, payment obligations, disclaimers, limitations, indemnity, governing law) survive termination.

15. Governing Law & Disputes

These Terms are governed by the laws of America, without regard to conflict-of-laws principles. You agree to the exclusive jurisdiction of the courts located in America. Each party waives any objection to venue or forum non conveniens.

16. Changes to Terms

We may update these Terms from time to time. Changes are effective upon posting. Your continued use after changes constitutes acceptance.
